Terms of Service — Avatar Purchase Agreement
Version 1.0
By purchasing and downloading my avatars (“the Product”), you agree to the following Terms of Service (“TOS”):
1. Ownership & Licensing
• You are purchasing a personal-use license to use this avatar prefab within Unity-based platforms such as VRChat.
• You do not own the intellectual property of the avatar itself, and may not claim it as your own.
• The license is non-transferable, non-resellable, and non-sublicensable.
• Reselling, gifting, or transferring the avatar, your account, or related access to any other person is strictly prohibited.
• All Avatars and all associated assets (including meshes, rigging, UV mapping, and textures) are the exclusive intellectual property of Zulee LLC, registered with the United States Copyright Office.
2. Allowed Uses
You may:
• Use the avatar in VRChat or compatible Unity-based VR platforms.
• Use the avatar for commercial purposes (e.g., videos, streams, monetized content).
• Create private, personal edits or retextures for your own use.
• Make personal backups, as long as the original Unity project and prefab remain intact and unmodified.
• Create NSFW edits, only for private use (not to be shared or sold without written permission).
3. Technical Requirements
• You must use the provided Unity prefab project when uploading to VRChat.
• Do not remove or alter the dummy bones from the FBX or tamper with embedded metadata.
• The integrity of the original package structure must be maintained.
4. Forbidden Uses
You may NOT:
• Share, resell, reupload, redistribute, gift, or trade the avatar files, whether original, modified, or derivative.
• Send the files to another person, including editors, friends, or commission artists. If someone is editing the model for you, they must also purchase their own license.
• Use the avatar or any derivative in AI training, NFT creation, or blockchain-related use.
• Use the avatar as a base for creating and selling your own model, product, or kitbash, whether free or paid.
• Publicly distribute NSFW variants without express written permission.
• Create derivative works intended to serve as a new base model for resale or public distribution without prior written approval.
5. Edits & Commissions
• You may upload a version of the avatar on behalf of someone else, but only if they can provide proof of purchase.
• I reserve the right to ask for verification of both parties at any time.
• If you wish to sell variations, you must request written approval first.
• If edits incorporate third-party assets or body parts, this must be clearly disclosed when showcasing or advertising.
6. Copyright & Legal Protection
• Azule avatars are secured with both anti-piracy deterrents and formal copyright registration: Case #1-14977842941 for Zari.
• Any unauthorized copying, redistribution, resale, or creation of derivative works intended to serve as a new base model is a violation of copyright law and these Terms.
• Violations will result in:
1. Immediate termination of your license and access to the avatar.
2. Permanent ban from future purchases.
3. DMCA takedowns to hosting providers, platforms, and search engines.
4. Potential civil liability, including statutory damages up to $150,000 per infringement under U.S. law.
7. Reporting Infringement
If you discover Azule Avatar being shared, sold, or distributed without authorization:
- Provide the full URL to the infringing material.
- Include any identifying usernames, account links, or evidence.
- Send the information to the respective avatar Legal Support channel in the Azule Discord Serverwith the subject: DMCA Report – Zari Avatar.
Once verified, Zulee LLC will issue DMCA takedown notices to the platform or host. If the infringing party is a registered customer, legal action may be pursued to the fullest extent permitted by law.If infringing material is not removed within a reasonable time after notification, Zulee LLC may escalate to upstream service providers, domain registrars, and applicable search engines, and will consider all available legal remedies.
8. Enforcement & Escalation
• If you or someone is found to be using or distributing the avatar without authorization, you will first receive a formal request from Zulee LLC to remove it directly.
• If either fail to comply, Zulee LLC will escalate the matter to VRChat. Under VRChat’s Terms of Service:
“We are under no obligation to edit or control User Content… If notified by a User or content owner that User Content allegedly does not conform to this TOS, we may investigate the allegation and determine in our sole discretion whether to remove the User Content, which we reserve the right to do at any time and without notice.” (VRChat Legal)
This gives VRChat full authority to remove infringing content without needing your consent.
• In addition, VRChat’s Copyright Policy states:
“If your copyright-protected work was posted on the Service without authorization, then you may submit a copyright infringement notice (a ‘Takedown Notice’). We comply with the provisions of the Digital Millennium Copyright Act.” (VRChat Copyright Policy)
This means that Zulee LLC can file a DMCA notice directly with VRChat to force removal.
• Continued non-compliance after escalation may result in DMCA takedowns to hosting providers, domain registrars, and search engines, further VRChat enforcement actions, and legal proceedings including pursuit of statutory damages up to $150,000 per infringement under U.S. law.
9. Refunds & Enforcement
• All sales are final once the files are delivered or downloaded. No refunds will be granted.
• I reserve the right to revoke access, blacklist buyers, or ban future purchases for any violation of these terms.
• Buyer activity is tracked internally for verification and anti-piracy purposes.
• Your Discord and VRChat usernames may be publicly listed under Violators/Rippers if you breach these Terms.
9. Final Terms
• These terms may be updated at any time. Significant changes may require renewed agreement.
• Purchasing this avatar signifies full agreement with these terms.
These Terms of Service are provided solely for the licensing and enforcement of the Zari Avatar. You may not copy, adapt, or reuse this document as a template for your own products or services without written permission from Zulee LLC.
